a) Tryb « Ceny Regulowane » (Auto)

• Cena sprzedaży strony jest ograniczona do najniższej ceny konkurencyjnej stwierdzonej na platformach zewnętrznych referowanych przez LINKAVISTA;
• Prowizja od sprzedaży (wymian): 5% netto od kwoty transakcji;
• Prowizja od wypłat: 10% netto od kwoty wypłaconej;
• Tryb ten jest domyślnie przypisywany każdej nowej stronie zarejestrowanej na Platformie.

b) Tryb « Ceny Wolne » (Wolny)

• Wydawca swobodnie ustala cenę sprzedaży swojej strony, bez ograniczeń;
• Prowizja od sprzedaży (wymian): 10% netto od kwoty transakcji;
• Prowizja od wypłat: 15% netto od kwoty wypłaconej;
• Dostęp do tego trybu jest uzależniony od globalnej aktywacji przez LINKAVISTA oraz indywidualnej autoryzacji Użytkownika. LINKAVISTA zastrzega sobie prawo do zawieszenia lub cofnięcia dostępu do trybu Ceny Wolne w dowolnym momencie, bez uprzedzenia i bez odszkodowania.

Wydawca uznaje i akceptuje, że podwyższone stawki prowizji obowiązujące w trybie Ceny Wolne stanowią rekompensatę za przyznaną swobodę cenową. Wybór trybu cenowego leży wyłącznie w gestii Wydawcy.

8.4 Zmiana trybu cenowego
Wydawca może w dowolnym momencie przejść z jednego trybu na drugi, pod warunkiem spełnienia kryteriów kwalifikacyjnych wybranego trybu.

Zmiana trybu nie ma skutku retroaktywnego: zyski już zaksięgowane na saldzie Użytkownika podlegają stawce prowizji odpowiadającej trybowi obowiązującemu w momencie dokonania każdej sprzedaży.

W przypadku przejścia z trybu Ceny Wolne na tryb Ceny Regulowane, jeśli cena strony przekracza obowiązującą konkurencyjną cenę referencyjną, cena jest automatycznie ograniczana do tego progu. Wydawca jest o tym informowany, lecz nie może domagać się żadnego odszkodowania z tego tytułu.

Zyski każdego Wydawcy są rozdzielane na odrębne subsalda w zależności od trybu cenowego obowiązującego w momencie każdej sprzedaży:

• Saldo historyczne (zyski sprzed wprowadzenia systemu trybów): prowizja od wypłat 10% netto;
• Saldo regulowane (zyski ze sprzedaży w trybie Ceny Regulowane): prowizja od wypłat 10% netto;
• Saldo wolne (zyski ze sprzedaży w trybie Ceny Wolne): prowizja od wypłat 15% netto.

Podczas wypłaty subsalda są konsumowane w następującej kolejności: saldo historyczne, następnie saldo regulowane, następnie saldo wolne. Odpowiednie prowizje od wypłat są obliczane proporcjonalnie do kwoty pobranej z każdego subsalda.

Użytkownik akceptuje, że ten mechanizm identyfikowalności zysków jest stosowany z mocy prawa i że nie może on wybrać kolejności konsumpcji subsald.

Konkurencyjna cena referencyjna jest ustalana automatycznie przez LINKAVISTA na podstawie cen stwierdzonych na referowanych platformach konkurencyjnych. LINKAVISTA nie gwarantuje kompletności, dokładności ani stałej dostępności tych danych.

Wydawca uznaje, że konkurencyjna cena referencyjna może ulec zmianie w dowolnym momencie w wyniku wahań cen konkurencyjnych i że LINKAVISTA nie ponosi odpowiedzialności za spadek konkurencyjnej ceny referencyjnej wpływający na cenę sprzedaży strony w trybie Ceny Regulowane.

The parties expressly acknowledge that the sums provided for in this article constitute a penalty clause (clause pénale) within the meaning of article 1231-5 of the French Civil Code, which may be moderated by the competent court in cases of manifest excess.

11.2.2 Acknowledgement of the breach

The breach shall be established by means of an automated monitoring system, enabling verification of, inter alia:

• refund of the net price received by the Publisher;
• a fixed management indemnity of fifteen percent (15%);
• a decreasing contractual penalty:
  • 0 to 6 months: 100% of the net price;
  • 6 to 12 months: 75%;
  • 12 to 18 months: 50%;
  • 18 to 24 months: 25%.

The aggregate amount is capped at two hundred and forty percent (240%) of the net price, save in cases of fraud.

The parties acknowledge that this amount is proportionate to the economic prejudice suffered, including:

• the loss incurred by the advertiser;
• the replacement cost;
• the impairment to service quality.

11.2.5 Set-off and deduction

Sums due may be set off against any receivables held by the Publisher, in accordance with the set-off mechanism provided for under article 1347 of the French Civil Code.

In the event of insufficient balance:

• the account shall become overdrawn;
• the debt shall be immediately due and payable;
• it shall bear interest at the statutory rate increased by five (5) percentage points.

Future revenues may be allocated, as a priority, to the repayment of such debt.

11.2.6 Recovery

Failing payment within ninety (90) days, LINKAVISTA shall be entitled to initiate any recovery proceedings.

All costs and fees incurred shall be borne by the Publisher in accordance with article L.111-8 of the French Code of Civil Enforcement Procedures.

11.2.7 Repeated breaches

In the event of:

• three (3) breaches within a rolling twelve (12) month period; or
• more than ten percent (10%) of the Publisher's active links being affected,

LINKAVISTA shall be entitled to:

• suspend the account;
• remove content from the catalogue;
• terminate the contract for cause (résiliation pour faute);
• temporarily block withdrawals.

Such measures shall be applied in compliance with the principle of proportionality.

11.2.8 Cases of exoneration

No sanction shall apply where the Publisher demonstrates that the breach results from:

• a force majeure event within the meaning of article 1218 of the French Civil Code;
• a failure attributable exclusively to a third party;
• a legal obligation imposed upon the Publisher;
• a prior written agreement with LINKAVISTA.

The following shall not constitute cases of exoneration:

• technical negligence;
• default of payment to a third party;
• improper technical management of the website.

11.2.9 Dispute

The Publisher may file a contestation within a period of fifteen (15) days from the notification.

LINKAVISTA undertakes to examine the request within a reasonable and reasoned timeframe.

In the event of disagreement, the parties undertake to seek an amicable resolution prior to any judicial action, in accordance with the principles set forth in Directive 2013/11/EU (by analogy as best practice). The competent courts shall be those designated under the governing law and jurisdiction provisions of these terms.
